Subscriber Agreement

ICLE accepts subscriptions to Michigan Law Online (“MI Law Online”) only with the understanding that the Subscriber has read, understood, and agreed to the terms of this Subscriber Agreement. By using MI Law Online, each individual user also agrees to be bound by the terms stated below.

1.
Subscription Year. Subscriber is purchasing a subscription to MI Law Online for one Subscription Year. The Subscription Year extends for 12 months from the date ICLE processes the order. Full payment is due at signup and is nonrefundable. No early cancellation for refund is permitted. ICLE will notify Subscriber before the initial or any renewal Subscription Year expires. Each renewal is for an additional 12-month Subscription Year.

Scope of MI Law Online. Subscriber acknowledges that “MI Law Online” is an online collection of Michigan primary law developed by ICLE and provided to subscribers to ICLE’s Partnership and Online Books free of charge, and to others for a license fee.
3.
Pricing and Subscriber Information. MI Law Online subscriptions are based on the number of lawyers in the firm or business. Subscriber represents that the number of lawyers (which includes lawyers “of counsel”) listed on the initial signup or renewal materials is accurate. Subscriber must provide ICLE with a complete list of the names and Michigan bar numbers, if any, of all its lawyers. Subscriber promises to promptly inform ICLE in writing of any changes in the names of Subscriber’s lawyers, in the firm’s number of lawyers, or in Subscriber’s legal composition or address. Subscriber acknowledges that this is extremely important so that ICLE may change passwords, issue new user names and passwords, and otherwise maintain the security of MI Law Online.

Intellectual Property. Although individual court opinions, court rules, and other primary law may be in the public domain, all right, and title and interest (including copyrights and other intellectual property rights) in MI Law Online belong to ICLE, including the compilation formed by the collection and assembly of the material, supporting software, and additional content.
5.
License.
In consideration of the license fee, ICLE grants Subscriber (“Subscriber” includes the authorized users as described below) a nonexclusive, nontransferable, limited license to access, retrieve and view reasonable, limited portions of Michigan Law Online during the Subscription Year, to view the information retrieved on Subscriber’s computer system and in general to use Michigan Law Online only for purposes of Subscriber’s law practice or legal research. This license includes the right to quote and excerpt from MI Law Online by electronic cutting and pasting or other means in memoranda, briefs and similar work product created by Subscriber in the regular course of its legal research and work. Subscriber may also create printouts of reasonable portions of Michigan Law Online and may download occasional case opinions.
Aside from the limited rights described in section 5(a), any other sharing, electronic copying, downloading, distribution, display, republication, transmission, reuse or resale of any copyrighted material in MI Law Online is strictly prohibited. Subscribers under this Agreement are prohibited from copying, scraping, extracting, downloading, uploading or otherwise using any copyrighted content, data, or information from any MI Law Online for the purpose of training or inputting into any machine learning system, artificial intelligence (AI) tool, large language model (LLM), or other algorithmic system or technology that uses such content to develop or improve automated or generative capabilities. This prohibition applies regardless of whether such use is for commercial or non-commercial purposes.
6.
Authorized Users. ICLE will provide a unique user name and password for each lawyer and legal assistant in Subscriber’s firm. This user name and password may be used only by that lawyer and support staff assisting them, and only so long as those individuals are employed by Subscriber. Subscriber will not disclose, or permit others to disclose, this information to anyone else, and will treat this information with the same level of care with which it treats its own confidential business information. Subscriber will communicate these obligations to its lawyers and support staff, and will promptly report any known breach to ICLE. Further, libraries and associations may not purchase an MI Law Online for use by their patrons or members.
7.
Email from ICLE Subscriber consents to ICLE sending periodic email notices to Subscriber and the authorized users. All such notices (except routine business notices) will include the right to opt out of receiving further notices.
8.
DISCLAIMER. ALL SERVICES AND INFORMATION FURNISHED TO SUBSCRIBER AND ITS PERSONNEL ARE PROVIDED ON AN "AS IS" "AS AVAILABLE" BASIS. ICLE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THESE SERVICES AND INFORMATION DO NOT CONSTITUTE LEGAL ADVICE, AND THEIR USE IS NOT A SUBSTITUTE FOR SUBSCRIBER’S AND ITS LAWYERS’ INDEPENDENT PROFESSIONAL JUDGMENT. ICLE ASSUMES NO RESPONSIBILITY FOR PROVIDING INTERNET ACCESS.
9.
Liability. ICLE (including ICLE's employees, officers, agents, sponsoring organizations, and contributors), is not liable for any loss, injury, claim, liability or damage resulting from errors or omissions in any MI Law Online, or any interruption in providing access to any MI Law Online. ICLE's liability in connection with any other claim shall not exceed the amount of Subscriber’s 12-month subscription fee. ICLE shall not be liable for any direct, special, indirect, incidental or consequential damages of any kind arising in connection with the use of MI Law Online.
10.
Termination; Nonrenewal.ICLE reserves the right to terminate this Agreement immediately if Subscriber or its authorized users materially breach this Agreement, including but not limited to misuse of any MI Law Online or disclosure of user names and passwords. ICLE reserves the right to change the terms on which it offers MI Law Online (or to cease offering it). If Subscriber renews a subscription, this Agreement (as modified by ICLE and communicated to Subscriber before renewal) continues to govern usage of the MI Law Online. Subscriber’s obligations under ¶5b, and the terms of ¶¶8 and 9 survive any termination or non-renewal.
11.
General. This agreement is nontransferable, is governed by Michigan law, and its provisions are severable. ICLE’s failure to enforce any provision does not waive further enforcement rights.
